These Terms & Conditions (“Terms”) govern your access to and use of the reesla website, mobile application, and any related products and services (collectively, the “Services”) provided by Jonathan Paul Kish LLC (“reesla,” “we,” “us,” or “our”). By accessing or using our Services, you agree to be bound by these Terms. If you do not agree with these Terms in full, please discontinue use immediately.

We reserve the right to modify or update these Terms at any time. Your continued use of the Services following the posting of changes constitutes your acceptance of such changes. We recommend that you print a copy of these Terms for your records.

1. OUR SERVICES

The Services offered by reesla are intended for lawful use only and are not available for distribution in any jurisdiction where such distribution would contravene local law or require registration. Users accessing our Services from any location are responsible for complying with applicable local laws.

2. INTELLECTUAL PROPERTY RIGHTS

We own or have licensed all intellectual property rights in our Services, including all source code, databases, software, website designs, text, images, audio, video, and graphics (collectively, “Content”), as well as all trademarks, service marks, and logos (“Marks”).
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your personal, non-commercial purposes. No Content or Marks may be reproduced, distributed, or exploited for commercial purposes without our express written permission. Any unauthorized use constitutes a material breach of these Terms and will result in immediate termination of your right to use the Services.

3. USER REPRESENTATIONS

By using the Services, you represent and warrant that:

• You have the legal capacity to enter into these Terms and comply with all of its provisions;
• You are not a minor in your jurisdiction;
• You will not use automated means (e.g., bots or scripts) to access the Services;
• Your use of the Services will not violate any applicable law or regulation; and
• All information you provide is accurate, current, and complete.
  If any information you provide is found to be false or incomplete, we may suspend or terminate your account and restrict access to the Services.

4. PROHIBITED ACTIVITIES

You agree not to engage in any activity that interferes with or disrupts the Services. Prohibited activities include, but are not limited to:

• Systematically retrieving or harvesting data from the Services without permission;
• Using the Services to defraud or mislead others or to obtain sensitive information;
• Circumventing security features or copying any part of the Content;
• Posting, transmitting, or uploading any material that is illegal, harassing, harmful, defamatory, or otherwise objectionable;
• Using automated systems to interact with the Services; and
• Engaging in any behavior that could damage, disable, or impair the Services.
  Any breach of this section may result in immediate termination of your access to the Services.

5. USER-GENERATED CONTRIBUTIONS

The Services may allow you to submit, post, or upload content (collectively, “Contributions”). By making a Contribution, you represent that:

• You have all necessary rights to submit the Content;
• Your Contribution does not infringe on any third-party rights; and
• Your Contribution complies with our Prohibited Activities.
  We are not responsible for any user-supplied Contributions, and you are solely responsible for them.

6. CONTRIBUTION LICENSE

By submitting any Contributions, you grant reesla a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute such Contributions in connection with the Services. You retain ownership of your Contributions, but you waive any moral rights associated with them. You agree that reesla may use your feedback or suggestions without any obligation to compensate you.

7. SERVICES MANAGEMENT

We reserve the right to monitor, review, and remove any Contributions or content that violate these Terms. We may also restrict, suspend, or terminate your access to the Services if we determine, in our sole discretion, that you have violated these Terms or any applicable law.

8. TERM AND TERMINATION

These Terms remain in effect as long as you use the Services. We reserve the right to terminate or suspend your access at any time, for any reason, without prior notice. Upon termination, all licenses and rights granted to you under these Terms will immediately cease.

9. MODIFICATIONS AND INTERRUPTIONS

We may modify or discontinue the Services at any time without notice. While we strive for uninterrupted access, we do not guarantee that the Services will always be available. We are not liable for any modifications, suspension, or discontinuance of the Services.

10. GOVERNING LAW

These Terms are governed by the laws of the United States. By using our Services, you consent to the exclusive jurisdiction of the courts located in the United States to resolve any disputes arising from these Terms.

11. DISPUTE RESOLUTION

Informal Negotiations:
Before initiating any formal dispute resolution process, both parties agree to attempt to resolve any disputes through informal negotiations for a period of at least 180 days.

Binding Arbitration:
If a dispute cannot be resolved through informal negotiations, any dispute arising from these Terms shall be finally resolved by binding arbitration in accordance with the rules of a recognized arbitration forum. The arbitration shall be conducted on an individual basis and not on a class or representative basis. Specific details regarding the arbitration process, including the number of arbitrators, seat of arbitration, language, and governing law, will be provided in a separate arbitration agreement.

Certain disputes, such as those concerning intellectual property rights or claims for injunctive relief, may be exempt from the arbitration provisions and resolved directly in a court of competent jurisdiction.

12. CORRECTIONS

The Services may contain typographical errors, inaccuracies, or omissions. We reserve the right to correct any errors, inaccuracies, or omissions at any time without prior notice.

13. DISCLAIMER

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.” TO THE FULLEST EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING, WITHOUT LIMITATION, THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE MAKE NO WARRANTIES REGARDING THE ACCURACY OR COMPLETENESS OF THE CONTENT ON THE SERVICES, NOR DO WE WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

14. LIMITATIONS OF LIABILITY

IN NO EVENT SHALL reesla, OR OUR DIRECTORS, EMPLOYEES, OR AGENTS, BE LIABLE FOR ANY INDIRECT, INCIDENTAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE SERVICES. OUR LIABILITY, WHETHER IN CONTRACT, TORT, OR OTHERWISE, SHALL AT ALL TIMES BE LIMITED TO THE AMOUNT PAID BY YOU, IF ANY, TO US. SOME US STATE AND INTERNATIONAL LAWS DO NOT ALLOW LIMITATIONS ON IMPLIED WARRANTIES OR THE EXCLUSION OR LIMITATION OF CERTAIN DAMAGES, SO THESE LIMITATIONS MAY NOT APPLY TO YOU.

15. INDEMNIFICATION

You agree to defend, indemnify, and hold harmless reesla, Jonathan Paul Kish LLC, and our respective affiliates, officers, agents, and employees from and against any and all claims, liabilities, damages, losses, or expenses, including reasonable attorneys’ fees, arising out of or in any way connected with your use of the Services, your violation of these Terms, or your infringement of any intellectual property or other rights of any third party.

16. USER DATA

We maintain certain data that you provide to the Services for purposes of managing and improving our performance. Although we perform regular backups, you are solely responsible for maintaining the integrity of your data. We are not liable for any loss or corruption of such data.

17. ELECTRONIC COMMUNICATIONS, TRANSACTIONS, AND SIGNATURES

By using the Services, you consent to receiving electronic communications from us. All agreements, notices, disclosures, and other communications provided electronically satisfy any legal requirement that such communications be in writing. You agree to the use of electronic signatures, contracts, and records in connection with your transactions on the Services.

18. MISCELLANEOUS

These Terms, together with any policies or operating rules posted by us on the Services, constitute the entire agreement between you and reesla regarding your use of the Services. Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Nothing in these Terms creates a joint venture, partnership, employment, or agency relationship between you and reesla. These Terms will not be construed against us merely because we drafted them.
